1. Acceptance of Terms

By accessing and using ToolNest (toolnest.me), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms apply to all visitors, users, and others who access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

ToolNest is a free online platform that provides 700+ utility tools including, but not limited to, PDF converters and editors, image processors and editors, text formatters and analyzers, developer utilities, audio and video tools, calculators, converters, and more. The tools are provided free of charge and are accessible without creating an account or providing personal information. Most tools operate entirely within your web browser using client-side processing.

3. User Responsibilities

When using ToolNest, you agree to the following:

  • Lawful Use Only: You must not use ToolNest to process, upload, or convert any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable under applicable law. This includes but is not limited to copyrighted materials you do not have permission to use, child exploitation material, and content that promotes violence or discrimination.
  • No Abuse of Service: You must not attempt to overload, disrupt, or interfere with the proper functioning of the Service. This includes automated requests (bots, scrapers) that exceed reasonable usage limits, denial-of-service attacks, or any activity that degrades the experience for other users.
  • No Exploitation: You must not attempt to hack, reverse-engineer, decompile, or exploit any part of the Service, its code, or its infrastructure. You must not attempt to gain unauthorized access to any systems, networks, or data associated with ToolNest.
  • No Commercial Redistribution: While ToolNest is free to use, you may not create a competing service by systematically copying, replicating, or redistributing our tools, designs, or content without prior written permission.
  • Compliance with Laws: You are solely responsible for ensuring that your use of ToolNest complies with all applicable local, national, and international laws and regulations.

4. Intellectual Property

All content, features, and functionality of the ToolNest website — including but not limited to the design, layout, text, graphics, logos, icons, images, software, and code — are the exclusive property of ToolNest and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. This license does not permit you to modify, copy, distribute, transmit, display, reproduce, or create derivative works from any part of the Service without our prior written consent.

Any files, content, or output you create using our tools remain your property. ToolNest does not claim any ownership over the files you process or the results generated by our tools.

5. File Processing and Data Handling

  • Browser-Based Processing: The vast majority of our tools process files and data directly in your web browser using client-side JavaScript. In these cases, your files never leave your device and are never transmitted to our servers.
  • Server-Side Processing: For certain tools that require server-side computation, files may be temporarily uploaded to our servers for processing. These files are processed immediately and deleted from our servers promptly after processing is complete. We do not retain, review, or share any uploaded files.
  • No Permanent Storage: ToolNest does not permanently store any files you process through our tools. We do not maintain backups of user files and cannot recover files after processing.
  • User Responsibility: You are responsible for maintaining your own backups of any files you process. ToolNest is not responsible for any data loss that may occur during or after processing.

6. Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ToolNest specifically disclaims liability for:

  • Accuracy of Results: While we strive for accuracy, we do not guarantee that the output of any tool (including calculators, converters, formatters, and generators) is 100% accurate, complete, or error-free. Always verify important results independently.
  • Financial Calculations: Financial tools (such as loan calculators, investment calculators, tax estimators, and currency converters) provide estimates only and should not be considered professional financial advice. Always consult a qualified financial advisor for important financial decisions.
  • Health Calculations: Health-related tools (such as BMI calculators, calorie counters, and fitness calculators) provide estimates only and should not be considered medical advice. Always consult a qualified healthcare professional for health-related decisions.
  • Data Loss: ToolNest is not responsible for any data loss, file corruption, or other damage that may result from using our tools. Always maintain backups of important files before processing them.
  • Service Availability: We do not guarantee that the Service will be available at all times or that it will be free of errors, interruptions, or security breaches.

IN NO EVENT SHALL TOOLNEST, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or ordinance.
  • Infringe upon the intellectual property rights of others.
  • Transmit any viruses, malware, or other harmful code.
  • Engage in any activity that could damage, disable, or impair the Service.

We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. 10. Indemnification

You agree to indemnify, defend, and hold harmless ToolNest and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from your use of the Service or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved in the courts of the United States.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated terms on this page. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions herein.
